Job Summary:

The Vice President for Legal and Compliance (CPA) is responsible for overseeing the legal and regulatory compliance functions of the organization, ensuring that all business operations are conducted within the framework of applicable laws and regulations. This role requires a unique combination of legal expertise and financial acumen to guide the organization in mitigating risks, handling legal matters, and ensuring compliance with financial regulations. The VP for Legal and Compliance will work closely with senior management to provide strategic legal advice and lead the compliance initiatives across the organization.

 

Key Responsibilities:

 

1. Legal Oversight:

   - Provide legal counsel to the executive team on a wide range of issues, including corporate governance, contract negotiation, mergers and acquisitions, intellectual property, and labor law.

   - Oversee the drafting, review, and negotiation of contracts and agreements to protect the organization's interests.

   - Manage litigation and dispute resolution, working with external legal counsel as necessary.

 

2. Compliance Management:

   - Develop, implement, and maintain compliance programs to ensure adherence to legal and regulatory requirements.

   - Monitor changes in relevant laws and regulations, ensuring the organization remains compliant.

   - Conduct regular compliance audits and assessments to identify and mitigate risks.

 

3. Financial Compliance:

   - Ensure compliance with financial regulations and standards, including those related to accounting and financial reporting.

   - Oversee the preparation and submission of financial statements and regulatory filings.

   - Collaborate with the finance department to ensure accurate and compliant financial practices.

 

4. Risk Management:

   - Identify and assess potential legal and financial risks to the organization.

   - Develop strategies to mitigate risks, including implementing policies and procedures to prevent legal issues.

   - Provide training and guidance to staff on legal and compliance matters.

 

5. Corporate Governance:

   - Support the Board of Directors and executive team in corporate governance matters.

   - Ensure compliance with corporate governance requirements and best practices.

   - Prepare and review board resolutions, minutes, and other corporate documentation.

 

6. Leadership and Management:

   - Lead and manage the legal and compliance teams, providing direction, mentorship, and professional development.

   - Foster a culture of ethical conduct and compliance throughout the organization.

   - Collaborate with other departments to ensure a cohesive approach to compliance and risk management.

 

7. Labor Law Expertise:

Provide expert legal advice on labor and employment matters, including employee relations, workplace policies, collective bargaining, and labor disputes.
Develop and implement strategies to manage labor relations and ensure compliance with labor laws and regulations.
Represent the organization in labor-related negotiations, arbitrations, and litigations.
 

Qualifications:

Juris Doctor (JD) degree from an accredited law school and active membership in a state bar.
Certified Public Accountant (CPA) designation.
10+ years of combined experience in legal and financial roles, with a focus on corporate law, compliance, and financial regulations.
Proven track record of managing legal and compliance functions in a corporate environment.
Strong understanding of financial regulations, accounting principles, and corporate governance.
Excellent analytical, problem-solving, and decision-making skills.
Outstanding communication and interpersonal skills, with the ability to work effectively with executive leadership and cross-functional teams.
High ethical standards and a commitment to integrity and compliance.
Strong understanding of financial regulations, accounting principles, corporate governance, and labor laws.
Proven track record of managing legal and compliance functions, including labor law matters, in a corporate environment.
