Job Description

Generic Responsibilities:
• Understand the CORE areas
• Understand relevant company policies
• Understand corporate governance and company act
• Understand basic corporate concepts and transactions such as share transfer, liquidations, mergers, etc.
• Draft corporate documents such as minutes, powers of attorneys, etc.
• Coordinate review, approval and implementation of changes in entity information and corporate structure
• Develop subject-matter expertise in the concerned support area
• Act as a POC for support area
• Understand and suggest process improvements in the support area
• Assist team in drafting checklists and process documents
• Directly liaison with internal stakeholders on various issues
• Manage SharePoint and communication records
• Identify and support any specific trainings for the team
• Support implementation of new initiatives in CORE support area or within Legal/GLN
• Build credible and effective relationships with onshore counsels and within GLN team
• Support recruitment efforts for the team
• Supervise resources, and assist GLN Team Lead in people management, as required
• Provide coaching and mentoring to junior members of the team
• Provide individuals with positive and developmental feedback
• Try to ‘give back’ to GLN/Legal.

Assist with AP67 coordination process.
•Developing and maintaining trusted working relationships with key individuals and SME's regionally e.g., Treasury, Tax, Controllership, GAP, Local Legal Groups, and External Counsel from all countries.
• Draft and implement corporate documentation for entities within region (Articles of Associations and By-Laws; Minutes of Board and Shareholders Meetings; Powers of Attorney and Proxies; Recapitalization documentation) and ensure signature coordination and authentication coordination of same.
• Manage corporate secretarial matters, including documentation necessary to appoint/dismiss Directors and other Corporate Officers, holding of Annual General Meetings.
• Maintenance of “Entity Matters” information for responsible countries.
• Instruct External Counsel resources on specific projects.
• Support the team with matters relating to ensuring Policy compliance, research and advisory matters.
• Liaise with internal and external stakeholders on various legal and commercial issues.
• Competent in building credibility and effective relationships within Legal team and with business and/or external Clients (as applicable);
• Escalate appropriately where needed and coordinate matters with internal and external stakeholders to find solutions.
• Coordinate and undertake legal assessments on regional/global projects, policies and compliance initiatives.
• Identify process improvements in Entity Matters or Corporate Functions domains and lead team in developing/drafting of guidelines, handbooks, know how material, checklists and process/tools associated documents (global/regional and local) for standardizing the process.
• Supervision of junior team members and quality of data in GEMS.
• Making use of GEMS capabilities and raising awareness of GEMS-related topics within the wider Legal team e.g. through presentations and the drafting of postcards.

Educational Requirement:

Education: Bachelor's degree in Law

Compliance related global professional certification is a plus

Skills and Work Experience

· Corporate law experience preferred

· Minimum of 3-4 of experience at law firm or as in-house counsel and/or in legal outsourcing

· Fluent in English with strong oral and written communication skills

· Good experience in generic/legal research and reporting, including due diligence

· Good understanding of commercial agreements, legal and compliance principles

· Proficiency using Microsoft Office applications (e.g. Excel, Word, PowerPoint, SharePoint)

· Effectively manage priorities and stakeholder expectations
