CEBU ERNBRI IMPORT INC.

CEBU ERNBRI IMPORT, INC. (CEII) is a corporation lawfully existing and registered
with the Securities and Exchange Commission (SEC), primarily to engage in, but not
limited to, import, buy, sell at wholesale, trade, export goods such as diving equipment,
water sports and other similar or related goods and merchandise.
BACKGROUND
In November 2002, CEBU ERNBRI IMPORT, INC. (CEII) through its major
shareholders Ernest Long and Brian Giles (hence ERNBRI), has taken over the
importation component of the 30-year-old AQUAVENTURE PHILIPPINES, and the then
largest distributor of diving equipment, WHITETIP DIVERS originally established in the
1980s. Subsequently, then major shareholder Brian Giles secured the trade name and
trademark AQUAVENTURE WHITETIP DIVE SUPPLY (AWDS) for use in the business.
In May 2003, CEII/AWDS started commercial importation and distribution operations in
two (2) locations: Ermita and Cebu. After twenty (20) years in business, CEII/AWDS
has grown from two (2) to Ten (10) Branch locations with its latest Branch strategically
located in El Nido Palawan:

To date, with its ten (10) operational Branches and a well-coordinated and refined
distribution network and warehousing, CEII/AWDS is by a very large margin the
country’s largest importer and distributor of SCUBA diving equipment and related
products, distributing a full range of SCUBA diving equipment nationwide.
